El Sorteo de Gran Inauguración Morrow (el “Sorteo”) se rige por estas Reglas Oficiales. Al participar en el Sorteo, cada participante acepta cumplir con estas Reglas Oficiales, incluyendo todos los requisitos de elegibilidad, y entiende que los resultados del Sorteo, según lo determine el Patrocinador (como se define a continuación), son definitivos en todos los aspectos.
The sponsor of this Sweepstakes is Titan Fitness Texas, LLC d/b/a Fitness Connection (“Sponsor”). The Sweepstakes shall be subject to these Official Rules, and by entering, all participants agree to be bound by the terms and conditions herein and the decisions of Sponsor, including the interpretation of these Official Rules and its exercise and discretion which will be final and binding in all respects.
1. ELEGIBILIDAD. Abierto a residentes legales de los 50 Estados Unidos y el Distrito de Columbia, mayores de 18 años a partir del 13 de abril de 2024, excepto (i) los residentes legales de Alabama y Nebraska deben tener 19 años o más a partir del 13 de abril de 2024, (ii) los residentes legales de Misisipi deben tener 21 años o más a partir del 13 de abril de 2024, y (iii) los empleados de Titan Fitness, LLC (“Patrocinador”) o sus empresas matrices, subsidiarias o afiliadas y los miembros de su familia inmediata o personas que vivan en el mismo hogar. 2. CÓMO PARTICIPAR. El Patrocinador realizará uno o más sorteos aleatorios alrededor del 13 de abril de 2024 para seleccionar a los ganadores entre todas las participaciones elegibles recibidas en el momento de cada sorteo. Las probabilidades de ganar dependen del número de participaciones recibidas. Los posibles ganadores deberán (i) estar presentes en el momento del sorteo correspondiente para ganar, (ii) presentar el boleto ganador al Patrocinador en un plazo de cinco (5) minutos desde que el Patrocinador anuncie el número del boleto ganador, y (iii) firmar y devolver la Declaración Jurada de Elegibilidad y Exención requerida antes de aceptar su premio correspondiente. Para evitar dudas, (i) la falta de presentación del boleto ganador al Patrocinador en un plazo de cinco (5) minutos desde que el Patrocinador anuncie el número del boleto ganador, o (ii) la falta o negativa a firmar la Declaración Jurada de Elegibilidad y Exención requerida, en cualquiera de los casos, puede resultar en la pérdida del premio, y el Patrocinador podrá otorgar el premio a un ganador alternativo. Todos los impuestos sobre la renta derivados de la aceptación de un premio son responsabilidad del ganador. Valor total del premio (antes de impuestos de venta aplicables): $1190.85. Los premios consisten únicamente en los artículos específicamente enumerados como parte del premio. Límite de un premio por familia o hogar. El ganador no podrá sustituir ni transferir el premio. El Patrocinador se reserva el derecho de sustituir un premio por uno de igual o mayor valor. 4. LIMITACIÓN DE RESPONSABILIDAD. Al participar en este Desafío, los participantes renuncian a todo derecho y eximen de responsabilidad al Patrocinador y a sus empresas matrices, filiales, subsidiarias, agentes, representantes, funcionarios, directores, accionistas y empleados (colectivamente, las "Partes Exoneradas") de cualquier reclamo, responsabilidad, pérdida, daño (incluidos daños punitivos, incidentales y consecuentes) o gasto (incluidos honorarios de abogados) que surja de o esté relacionado con la participación en este Desafío o la aceptación, uso o mal uso de cualquier premio. Si, a juicio del Patrocinador, existe tal error, o hay alguna evidencia sospechosa de manipulación de cualquier parte del Desafío, el Patrocinador se reserva el derecho, a su entera discreción, de cancelar o modificar este Desafío de la manera que el Patrocinador considere apropiada. El uso de bots u otros procesos automatizados para participar está prohibido y puede resultar en la descalificación a la entera discreción del Patrocinador. En caso de terminación, los ganadores serán seleccionados al azar entre todas las inscripciones elegibles recibidas hasta la fecha de terminación. CUALQUIER INTENTO POR PARTE DE CUALQUIER PERSONA DE DAÑAR O SOCAVAR EL DESAFÍO PUEDE CONSTITUIR UNA VIOLACIÓN DE LA LEY PENAL Y/O CIVIL, Y SI SE REALIZA TAL INTENTO, EL PATROCINADOR PUEDE RECLAMAR DAÑOS Y PERJUICIOS Y OTROS RECURSOS DE DICHA PERSONA EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY. EL HECHO DE QUE EL PATROCINADOR NO HAGA CUMPLIR CUALQUIER TÉRMINO DE ESTAS REGLAS OFICIALES NO CONSTITUIRÁ UNA RENUNCIA A DICHA DISPOSICIÓN. INDEMNIZACIÓN Y LIMITACIÓN DE RESPONSABILIDAD AL PARTICIPAR EN EL DESAFÍO, CADA PARTICIPANTE ACEPTA INDEMNIZAR, EXONERAR Y MANTENER INDEMNES A LAS PARTES EXONERADAS, A INSTAGRAM Y A TODOS SUS RESPECTIVOS FUNCIONARIOS, DIRECTORES, EMPLEADOS, REPRESENTANTES Y AGENTES DE CUALQUIER RESPONSABILIDAD, DAÑO, PÉRDIDA O LESIÓN RESULTANTE, EN TODO O EN PARTE, DIRECTA O INDIRECTAMENTE, DE LA PARTICIPACIÓN DE DICHO PARTICIPANTE EN EL DESAFÍO Y LA ACEPTACIÓN, USO O MAL USO DE CUALQUIER PREMIO QUE PUEDA GANARSE. LAS PARTES EXONERADAS NO OFRECEN NINGUNA GARANTÍA, EXPRESA O IMPLÍCITA, EN CUANTO A LA CONDICIÓN, IDONEIDAD O COMERCIABILIDAD DEL PREMIO. LAS PARTES EXONERADAS RENUNCIAN A CUALQUIER RESPONSABILIDAD POR DAÑOS A CUALQUIER SISTEMA INFORMÁTICO RESULTANTES DEL ACCESO O LA DESCARGA DE INFORMACIÓN O MATERIALES RELACIONADOS CON EL DESAFÍO. ADEMÁS, ACEPTO QUE CUALQUIER RECURSO O ACCIÓN DISPONIBLE BAJO O RELACIONADO CON EL SORTEO SE LIMITA ESTRICTAMENTE AL PATROCINADOR. NINGÚN DIRECTOR, FUNCIONARIO, EMPLEADO, FUNDADOR, MIEMBRO, SOCIO, ACCIONISTA, SUBSIDIARIA, AFILIADA, PARTE CONTROLADORA, ENTIDAD BAJO CONTROL COMÚN, PROPIEDAD O GESTIÓN, PROVEEDOR, PRESTADOR DE SERVICIOS, AGENTE O ABOGADO DE CUALQUIERA DE LAS PARTES, PASADO, PRESENTE O FUTURO, TENDRÁ RESPONSABILIDAD ALGUNA BAJO EL SORTEO O POR CUALQUIER RECLAMO BASADO EN, RESPECTO DE, O POR RAZÓN DEL SORTEO.
5. ELECCIÓN DE LEY Y FUERO. El participante acepta que todos los asuntos que surjan de o estén relacionados con este Desafío y estas Reglas Oficiales se rigen e interpretan de acuerdo con las leyes de Texas, sin dar efecto a ninguna de sus disposiciones sobre conflicto de leyes. El participante acepta además que cualquier demanda, acción o procedimiento legal que surja de o esté relacionado con este sorteo y estas Reglas Oficiales se presentará exclusivamente en los tribunales federales o estatales aplicables ubicados en Dallas, Texas.

8. DISPUTE RESOLUTION. Sponsor’s decisions as to all matters related to the administration of the Sweepstakes and selection of any Winner is final, and by entering the Sweepstakes, Entrant agrees to abide by these Official Rules and all of Sponsor’s decisions. Entrant agrees that any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any Prize awarded, other than the administration of the Sweepstakes or the determination of any Winner, shall be resolved individually, without resort to any form of class action, and exclusively by either the U.S. District Court located in Dallas County, Texas or the appropriate Texas state court within Dallas County, Texas (unless a Texas mandatory venue statute applies, in which case the mandatory venue shall be the exclusive forum for disputes). By participating in the Sweepstakes, Entrant consents to the personal jurisdiction of such courts and waives any and all objections thereto.
9. GENERAL CONDITIONS. All federal, state and local laws apply. Sponsor reserves the right in its sole discretion to supplement or make changes to these Official Rules at any time without notice. In the event that any dispute arises regarding the meaning or interpretation of these Official Rules, all participants agree that the dispute shall be resolved by applying the laws of the State of Texas, without respect to conflict of laws doctrines, and that it shall be resolved by and within the courts of that state. Sponsor is the final interpreter of these Official Rules. The decisions of Sponsor are final in all matters relating to the Sweepstakes and Official Rules. Failure of Sponsor to enforce any provision of the Official Rules will not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event Sponsor is prevented from continuing with the Sweepstakes by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each, a “Force Majeure” event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Sweepstakes or prize. Sponsor additionally reserves the right, in its sole and absolute discretion to modify, suspend or terminate the Sweepstakes should causes beyond Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Sweepstakes. By entering the Sweepstakes, Entrant agrees to receive e-mail newsletters and other marketing materials periodically from Sponsor. Entrant can opt-out of receiving communications at any time by clicking the unsubscribe link in the newsletter or other communication from Sponsor.
